Risk Disclosure
Before using the services provided by nbnq swiss ag (“nbnq”), Clients should carefully read and acknowledge the business, operational, technical, regulatory and financial risks associated with nbnq’s digital-asset exchange, transfer and custodial-wallet services and, where available, access to fiat, payment and card functionality provided through third-party providers.
nbnq is a VQF SRO member – member of an officially recognised self-regulatory organisation pursuant to the Swiss Anti-Money Laundering Act. nbnq is supervised by VQF in relation to compliance with the Swiss Anti-Money Laundering Act. nbnq is not a bank, does not hold a FINMA banking or FinTech licence and is not directly prudently supervised by FINMA.
The business model, services and technologies used by nbnq are exposed to operational, technical, regulatory, legal and financial risks inherent in digital-asset services, distributed-ledger technology, electronic communications and the use of external service providers.
Major Risks
Operational and Outsourcing Risk
nbnq relies on external service providers and infrastructure partners for certain operational, technical, identity-verification, compliance, blockchain-analytics, liquidity, fiat, payment, card, hosting and data-processing functions.
Although nbnq carefully selects and monitors its service providers, their systems, decisions and service availability may be outside nbnq’s direct control. A provider may delay, restrict, reject or discontinue a service, or may suffer an operational, financial, legal or technical failure.
Technology and Cybersecurity Risk
nbnq’s services depend on electronic systems, software, application programming interfaces, custody infrastructure, blockchain networks and internet-based communications.
These systems may be affected by cyberattacks, malware, phishing, account takeover, unauthorised access, software defects, infrastructure failures, telecommunications outages or other security incidents. nbnq applies appropriate technical and organisational measures, but absolute security cannot be guaranteed.
Service Availability and Transaction-Processing Risk
Technical failures, maintenance, network congestion, third-party downtime, blockchain interruptions or events outside nbnq’s reasonable control may prevent or delay access to the platform or the execution, confirmation or settlement of a transaction.
nbnq does not guarantee uninterrupted or error-free availability of its services.
Digital-Asset Market and Exchange-Rate Risk
The value of digital assets and foreign currencies may fluctuate significantly and within short periods. Digital assets may lose some or all of their value. Stablecoins may lose their intended reference value or become subject to liquidity, issuer, reserve or regulatory risks.
Exchange rates, spreads, execution prices, transaction fees and network charges may change before a transaction is confirmed or completed.
Blockchain and Transaction-Finality Risk
Blockchain transactions may be irreversible once transmitted or confirmed. An incorrect wallet address, network selection, asset type, transaction amount or beneficiary detail may result in the permanent loss of assets.
Blockchain networks may also be affected by congestion, forks, validator failures, protocol changes, increased fees, technical vulnerabilities or attacks.
Custody Risk
nbnq provides custodial digital-asset wallet services and retains or controls the cryptographic authorisation required to execute transactions.
Although digital assets are intended to be maintained through dedicated custodial wallet infrastructure and recorded separately from nbnq’s proprietary assets, custody arrangements remain exposed to operational, technical, cybersecurity, legal, insolvency and third-party risks. Operational separation does not constitute a statutory guarantee against loss.
Compliance and Regulatory Intervention Risk
nbnq and its third-party providers are subject to anti-money laundering, sanctions, Travel Rule, fraud-prevention and other legal and contractual controls.
A transaction, account, wallet or service may therefore be delayed, restricted, suspended, blocked, rejected or subject to additional clarification or documentation requirements. nbnq may be legally unable to explain the full reason for a restriction where confidentiality, sanctions, anti-money laundering or investigation-related requirements apply.
Fiat and Third-Party Provider Risk
Fiat-related functionality, where available, is provided through regulated or authorised third-party providers under their own terms and responsibility.
Payments may be rejected, delayed, returned or restricted by partner institutions, beneficiary institutions, correspondent institutions, payment networks or other intermediaries. Additional third-party, correspondent, payment-network or conversion charges may apply and may not always be known in advance.
Data and Electronic-Communication Risk
Electronic communications, including email and internet-based communications, may be delayed, interrupted, intercepted, altered, duplicated, misdirected or accessed by unauthorised persons.
Clients should not transmit confidential instructions through unsecured channels and must protect their devices, login credentials and authentication methods against unauthorized access.
Regulatory and Legal-Change Risk
The legal and regulatory treatment of digital assets, custodial wallets, blockchain services, payment infrastructure and cross-border services continues to evolve.
Changes in legislation, regulation, supervisory practice, sanctions, tax treatment or third-party requirements may affect the availability, scope, timing or conditions of nbnq’s services.
No Deposit Protection
nbnq is not a bank and does not itself maintain customer fiat accounts or hold customer fiat funds under its documented operating model.
Where fiat, IBAN, payment or card functionality is available, the relevant fiat funds are maintained or processed by the applicable third-party provider under that provider’s regulatory framework, account structure and contractual terms. Whether any statutory deposit protection, safeguarding arrangement or insolvency protection applies depends on the relevant provider and the specific legal structure of the service.
Clients must therefore not assume that the Swiss deposit protection scheme operated by esisuisse applies unless this has been expressly confirmed by the relevant provider for the specific account or service. Swiss deposit insurance generally protects qualifying credit balances held with banks, subject to its statutory requirements and limits.
Digital assets held through nbnq’s custodial wallet service:
are not bank deposits;
are not protected by esisuisse;
are not covered by any other Swiss governmental deposit-guarantee scheme; and
remain exposed to the custody, technology, market and insolvency risks described in this Risk Disclosure.
nbnq does not grant loans to Clients or pay interest on customer fiat or digital-asset balances under its current service model. Clients should carefully evaluate these risks, review the General Terms and Conditions and obtain independent professional advice where appropriate before using nbnq’s services.
